Please read these Terms and Conditions carefully before using this website or engaging the services of selasihga. By accessing this website or submitting an enquiry, you indicate that you have read and agree to be bound by these terms. If you do not agree, please do not use this website.
1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any engagement letter or statement of work agreed between you and selasihga.
- "selasihga", "We", "Us", "Our" means selasihga, a business advisory practice with its principal place of business at 18 Jalan Hang Jebat, 75200 Melaka, Malaysia.
- "Client", "You" means any individual or entity that engages selasihga's advisory services or uses this website.
- "Services" means the advisory engagements offered by selasihga, as described on this website and in any engagement letter.
- "Deliverable" means any written document, framework or summary produced by selasihga in the course of an engagement.
- "Website" means the website accessible at selasihga.info and all pages contained within it.
2. Acceptance of Terms
By using this Website, submitting an enquiry form, or entering into an engagement with selasihga, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are entering into this Agreement on behalf of a business entity, you represent that you are authorised to bind that entity to these terms.
3. Description of Services
selasihga offers a defined range of business advisory engagements for trading families and established businesses primarily located in Melaka and the central and southern coastal regions of Malaysia. Our three current engagement types are:
- Trading Family Strategy Reading — a four-week engagement at RM 670
- Heritage Retail and Tourism Adjacent Advisory — a nine-week engagement at RM 1,800
- Multi-Generation Family Business Continuity Advisory — a five to six-month engagement at RM 3,400
The precise scope of any engagement is set out in a written engagement letter agreed before work commences. The information on this website is descriptive only and does not constitute a binding offer. Geographic restrictions may apply for on-site visit components.
4. Enquiries and Website Use
This website is provided for informational purposes and to allow prospective clients to make enquiries. You agree to use this website lawfully and not to misuse any contact forms or submit false or misleading information. We reserve the right to decline any enquiry or engagement at our sole discretion, without obligation to provide a reason.
5. Engagement Terms
5.1 Engagement letters
Each advisory engagement is governed by a written engagement letter that specifies the scope, fee, timeline, deliverables and confidentiality terms. These Terms and Conditions apply to all engagements in addition to the terms of the engagement letter. In the event of conflict, the engagement letter takes precedence.
5.2 Fees and payment
Fees for each engagement are as stated on this website and in the engagement letter. Fees are stated in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless stated otherwise. Payment terms are set out in the engagement letter. We do not vary our fees mid-engagement without the client's written agreement.
5.3 Cancellation
Either party may terminate an engagement by providing written notice. If a client terminates after work has commenced, fees for work completed to the date of termination are payable. The specific cancellation terms are set out in the engagement letter.
6. Confidentiality
selasihga treats all client information as strictly confidential. We do not disclose client details, business information or engagement content to any third party without the client's prior written consent, except as required by law. This obligation continues after the conclusion of any engagement. Clients are similarly expected to treat as confidential any methodologies, observations or materials provided by selasihga during an engagement.
7. Nature of Advisory Services
The advisory services provided by selasihga are observations and recommendations based on our experience and the information made available to us. Our deliverables are intended to assist clients in their thinking and decision-making. They do not constitute legal, financial, accounting or tax advice. Clients should seek qualified professional advice in those areas before acting on any recommendation contained in our deliverables. selasihga does not accept responsibility for decisions made by clients on the basis of our advisory work.
8. Intellectual Property
The content of this website — including text, layout and design — is the property of selasihga and is protected under applicable intellectual property law. You may view and print pages from this website for personal, non-commercial use only. You may not reproduce, republish or distribute website content without our prior written consent.
Written deliverables produced in the course of an engagement are provided to the client for their private use. Clients may not reproduce or distribute these documents externally without selasihga's prior written consent.
9. Disclaimers
This website and its content are provided on an "as is" basis without warranties of any kind, express or implied. We make reasonable efforts to keep information on this website accurate but do not warrant that it is current, complete or error-free. We reserve the right to modify or withdraw website content at any time without notice.
10. Limitation of Liability
To the extent permitted by Malaysian law, selasihga's liability to any client in connection with an engagement shall not exceed the total fees paid by that client for the relevant engagement. We shall not be liable for any indirect, consequential or special losses arising from our advisory services or from the use of this website, including loss of profit, loss of business or damage to reputation.
Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
11. Indemnification
You agree to indemnify and hold selasihga harmless from any claims, losses or expenses (including reasonable legal fees) arising from your misuse of this website, your breach of these terms, or any false or misleading information you have provided to us.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these terms or with any engagement shall first be the subject of good-faith negotiation between the parties. If a dispute cannot be resolved informally within 30 days, either party may refer the matter to the courts of Malaysia, and both parties submit to the non-exclusive jurisdiction of the Malaysian courts.
13. General Provisions
- Entire agreement: These Terms and Conditions, together with any engagement letter, constitute the entire agreement between you and selasihga regarding the subject matter described herein.
- Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
- Waiver: Our failure to enforce any provision of these terms does not constitute a waiver of our right to do so in future.
- Assignment: You may not assign your rights or obligations under these terms without our prior written consent.
- Notices: Notices under these terms should be sent by email to [email protected] or by post to our registered address.
14. Changes to These Terms
We may update these Terms and Conditions from time to time. When we do, we will update the "Last Updated" date at the top of this page. Continued use of this website following any update constitutes acceptance of the revised terms. Material changes affecting existing engagements will be communicated directly to the relevant client.
